In Zimbabwe, business structures are governed by the Companies and Other Business Entities Act [Chapter 24:31], which officially replaced older legislation in 2020. Choosing the right type depends on your business size, ownership needs, and long-term goals.

1. Private Limited Company - $180

The most common structure in Zimbabwe is suitable for everything from small startups to large enterprises.

  • Ownership: Minimum of 2 shareholders and a maximum of 50.
  • Management: Managed by at least 2 directors. At least one director must be a resident of Zimbabwe.
  • Best for: Businesses looking to scale, attract corporate investors, or apply for large government and private tenders.
  • Key Feature: It is a separate legal entity, meaning shareholders have limited liability for company debts.

2. Private Business Corporation (PBC) - $100

A simpler and more affordable alternative to a "Pvt Ltd," designed specifically for small businesses and individual professionals.

  • Ownership: Minimum of 1 member and a maximum of 20. Only individuals (natural persons) can be members; other companies cannot own a PBC.
  • Management: Members manage the business themselves; there is no requirement for a board of directors or a company secretary.
  • Best for: Sole traders, consultants (e.g., accountants, lawyers, architects), and micro-to-small enterprises (SMEs).
  • Key Feature: Offers the same limited liability protection as a Pvt Ltd but with significantly fewer administrative burdens and lower registration costs.

Yes. If your company or PBC was registered before March 2024, you must re-register by April 20, 2026. This is a legal requirement to move all records onto the new digital system. Failure to do so results in your company being de-registered (struck off).

Yes. Foreign nationals can own 100% of the shares in most sectors. However, the law requires that at least one director must be a permanent resident of Zimbabwe. Additionally, certain "Reserved Sectors" (like retail or local transport) may have restrictions or require specific investment licenses from ZIDA (Zimbabwe Investment and Development Agency).

Yes. You cannot use a PO Box as your primary business address. You must provide a physical address in Zimbabwe (this can be a residential address if you are a startup) where legal documents can be served.

An ITF263 is a document issued by ZIMRA proving your tax affairs are in order. Without it, any company paying you is legally obligated to withhold 30% of your payment and remit it to the government. You can only get this after your company is registered and has a Taxpayer Identification Number (TIN).

  • Must be at least 18 years old.
  • Must not be an unrehabilitated insolvent.
  • At least two directors are required for a Pvt Ltd.
  • At least one director must reside in Zimbabwe.
     

Yes, but it requires a formal process called a Change of Name. You must conduct a new name search, pass a special resolution, and pay the required fees to the Registrar of Companies to issue a new certificate.

While not legally required, it is helpful. For a PBC, you don't need a formal audit unless your turnover exceeds a certain limit, making it much cheaper to maintain than a Pvt Ltd.
